Terms and Conditions
Last updated: September 18, 2026
These Terms and Conditions ("Terms") govern access to and use of Orbit, the WhatsApp Business Platform product operated by Navybits ("Navybits", "we", "us", "our"), including this website, the Orbit web app, agent mobile app and APIs (together, the "Service"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organization you represent ("Customer", "you"). If you do not agree, do not use the Service.
1. The Service
Orbit lets Customer connect a WhatsApp Business Account (via Meta's WhatsApp Business Platform / Cloud API) and optionally Instagram and Messenger, to receive and respond to customer conversations through a shared team inbox, automated chatbot flows, broadcast campaigns, WhatsApp calling/IVR and analytics. Orbit is an independent product built on Meta's WhatsApp Business Platform and is not owned, operated or endorsed by Meta Platforms, Inc.
2. Accounts & eligibility
You must be at least 18 years old and able to form a binding contract to create an account. You are responsible for the accuracy of information provided during sign-up, for maintaining the confidentiality of your account credentials, and for all activity under your account. You must promptly notify us of any unauthorized use.
3. Your responsibilities
You are solely responsible for:
- Complying with Meta's WhatsApp Business Messaging Policy, WhatsApp Business Platform terms, and Meta's other applicable policies when using the Service.
- Obtaining any consent required from your End Users before messaging them, and honoring opt-outs.
- The content of messages, templates, chatbot flows, and campaigns you send through Orbit.
- Ensuring you have a lawful basis to record calls where WhatsApp Calling / IVR recording is enabled, and for notifying End Users where required by law.
- The accuracy of any data you connect via optional integrations (e.g. Odoo).
- Complying with all applicable laws, including data protection, consumer protection and anti-spam laws.
We may suspend or restrict a channel, template or account that we reasonably believe violates Meta's policies, applicable law, or these Terms — including where Meta itself restricts, suspends or bans a connected WhatsApp Business Account, phone number or template, which is outside our control.
4. Plans, fees & billing
- Self-serve setup is free ($0). Managed setup, where Navybits configures your account for you, is a one-time fee (starting from $2,000 at time of writing).
- The Full Package platform subscription (including an AI agent on WhatsApp chats) starts from $100/month; the AI & Voice Package (WhatsApp Calling with IVR flows, call recording and an AI voice agent on WhatsApp calls) starts from $250/month. Custom add-ons and integrations are quoted separately, as described on our pricing page. Displayed prices are in USD and may change with notice as described below.
- Meta's per-message fees are separate from your Orbit subscription. Meta charges Customer directly (via Meta's own billing) for delivered template messages, based on Meta's published conversation-based or per-message pricing, which Meta may change at any time. Navybits does not control and is not responsible for Meta's fees or pricing changes.
- Subscription fees are billed in advance on a recurring basis and are non-refundable except as required by law or expressly stated. You are responsible for applicable taxes.
- We may change subscription pricing with at least 30 days' notice; continued use after the effective date constitutes acceptance of the new pricing.
- Failure to pay outstanding fees may result in suspension or termination of the Service.
5. Acceptable use
You agree not to use the Service to:
- Send unsolicited bulk messages, spam, or messages without a proper legal basis or opt-in;
- Send content that is illegal, fraudulent, defamatory, hateful, or infringes third-party rights;
- Attempt to circumvent Meta's platform policies, rate limits or quality controls;
- Reverse engineer, resell, sublicense, or use the Service to build a competing product;
- Introduce malware, attempt unauthorized access, or disrupt the Service's infrastructure.
6. Third-party platforms
The Service depends on Meta's WhatsApp Business Platform, and may depend on other third-party providers (hosting, AI/speech-to-text, payments). Availability, features, pricing and policies of these third parties are outside Navybits' control, and outages, policy changes or API changes by these providers may affect the Service. We are not liable for the acts or omissions of these third-party providers.
7. Intellectual property
Navybits and its licensors retain all right, title and interest in and to the Service, including its software, design and branding. Subject to these Terms, we grant Customer a limited, non-exclusive, non-transferable license to access and use the Service during the subscription term. Customer retains ownership of its own content, data and templates uploaded to or created within the Service.
8. Data & privacy
Our collection and use of data in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference. As between the parties, Customer remains the data controller of its End User conversation data, and Navybits processes such data as a service provider on Customer's instructions.
9. Confidentiality
Each party will use the other's confidential information only to perform its obligations under these Terms, and will protect it with a reasonable standard of care, except information that is public, independently developed, or required to be disclosed by law.
10. Term, suspension & termination
These Terms apply for as long as you have an active account. Either party may terminate a subscription per the terms of the applicable plan or with 30 days' written notice for convenience, unless a different notice period is agreed separately. We may suspend or terminate access immediately for material breach of these Terms, non-payment, or where required by Meta or applicable law. Upon termination, your right to use the Service ends; Section 4 (unpaid fees), Section 7 (IP), Section 9 (confidentiality), Section 12 (disclaimers), Section 13 (liability), and Section 15 (governing law) survive termination.
11. Export of data on termination
Upon written request within 30 days of termination, we will make reasonable efforts to provide Customer an export of its account and conversation data in a standard format, after which we may delete such data in accordance with our data retention practices.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CONNECTED THIRD-PARTY PLATFORMS (INCLUDING META'S WHATSAPP BUSINESS PLATFORM) WILL REMAIN AVAILABLE OR UNCHANGED.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVYBITS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. NAVYBITS' TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO NAVYBITS FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
Customer agrees to indemnify and hold Navybits harmless from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of Customer's content, use of the Service in violation of these Terms, applicable law, or Meta's policies, or Customer's violation of any third party's rights.
15. Governing law & disputes
These Terms are governed by the laws of Lebanon, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of Lebanon, unless otherwise required by mandatory local law applicable to Customer.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified via the Service or by email at least 30 days before taking effect where practicable. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
